MORAI End User License Agreement

This End User License Agreement (“EULA”) is a legal agreement between you and Codvia Teknoloji A.Ş. governing your access to and use of the MORAI application, website, and related AI-powered photo and video services.

1. Acceptance of Terms

By downloading, installing, accessing, or using MORAI, you agree to be bound by this EULA. If you do not agree, you must not access or use MORAI.

This EULA applies to the MORAI mobile application, the website located at https://moraiphoto.com, and any related services, content, tools, updates, or features provided by Codvia Teknoloji A.Ş.

2. License Grant

Subject to your compliance with this EULA, Codvia Teknoloji A.Ş. grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use MORAI for personal, lawful, and non-commercial purposes, unless otherwise expressly permitted by us in writing.

This license does not transfer any ownership rights in MORAI or any part of its technology, content, or services.

3. Restrictions

You agree that you will not:

  • copy, modify, adapt, translate, distribute, sell, lease, or commercially exploit MORAI except as expressly authorized;
  • reverse engineer, decompile, disassemble, attempt to derive source code from, or otherwise interfere with MORAI;
  • use MORAI for unlawful, deceptive, infringing, abusive, harmful, or fraudulent purposes;
  • upload content that violates the rights of others, including privacy, publicity, intellectual property, or contractual rights;
  • attempt to bypass usage limits, security controls, payment controls, moderation systems, or technical protections;
  • use bots, scripts, scraping tools, or automated methods to access or misuse the service without authorization;
  • use MORAI to create content that is defamatory, obscene, hateful, violent, misleading, or otherwise prohibited under applicable law or policy.

4. Eligibility

You must be legally capable of entering into a binding agreement to use MORAI. If you are using MORAI on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to this EULA.

MORAI is not intended for children under the age of 13. If you are under the age required by applicable law to form a binding agreement, you may only use MORAI with the permission and supervision of a parent or legal guardian.

5. User Content

MORAI may allow you to upload photos, prompts, text, visual references, and other materials (“User Content”). You retain your rights in your User Content, subject to the rights you grant to us under this EULA.

By uploading or submitting User Content, you represent and warrant that:

  • you own or otherwise control all rights necessary to upload, process, and use that content;
  • your User Content does not infringe or violate any third-party rights;
  • you have obtained any necessary permissions and consents from individuals depicted in the content;
  • your User Content complies with applicable law and this EULA.

You grant Codvia Teknoloji A.Ş. a limited, worldwide, non-exclusive license to host, store, process, reproduce, transform, display, and use your User Content solely as necessary to operate, maintain, secure, improve, and provide MORAI and its requested features.

You must not upload photographs or other materials of third parties without appropriate rights, permission, or lawful basis.

6. AI-Generated Outputs

MORAI uses artificial intelligence and automated systems to generate or transform images, videos, animations, and related outputs. Such outputs may vary depending on the source material, prompt, settings, and technical limitations of the system.

  • AI-generated outputs may not be accurate, complete, realistic, or suitable for all purposes.
  • MORAI is provided for creative, personal, and entertainment-related uses unless otherwise stated.
  • You are solely responsible for reviewing and evaluating any generated output before using, sharing, publishing, licensing, or relying on it.
  • You must not use MORAI outputs in a manner that violates law, policy, privacy rights, or the rights of others.
MORAI does not guarantee that generated results will match your expectations or accurately depict real people, events, identities, or real-world facts.

7. Intellectual Property

MORAI, including its software, design, interface, text, branding, visual systems, code, models, workflows, graphics, logos, and all related content other than your User Content, is owned by or licensed to Codvia Teknoloji A.Ş. and protected by applicable intellectual property and other laws.

Except for the limited license expressly granted in this EULA, no rights are granted to you by implication, estoppel, or otherwise.

8. Purchases and Subscriptions

Certain MORAI features may require payment, subscription, or in-app purchase. Pricing, billing terms, available plans, trial offers, and renewal terms may be shown inside the application or through the applicable app store.

  • Purchases made through Apple App Store or Google Play are processed by those platforms under their billing terms.
  • You are responsible for reviewing the pricing and renewal terms before completing a purchase.
  • Unless otherwise stated, subscriptions may renew automatically until cancelled in accordance with the applicable platform rules.
  • Refund requests, where available, may be subject to the policies of the payment platform or store through which the transaction was made.

9. Service Availability and Updates

We may modify, improve, suspend, discontinue, or update MORAI or any feature at any time, with or without notice, to the extent permitted by law.

We do not guarantee that MORAI will always be available, uninterrupted, secure, current, or error-free. Features may vary by device, region, operating system, platform, or account status.

10. Termination

This EULA remains effective until terminated by you or by Codvia Teknoloji A.Ş. We may suspend or terminate your access to MORAI immediately, with or without notice, if we believe you have violated this EULA, applicable law, or the rights of others, or if continued access poses risk to the service, users, or business.

Upon termination, the license granted to you under this EULA will immediately end, and you must stop using MORAI.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MORAI IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

WITHOUT LIMITING THE FOREGOING, CODVIA TEKNOLOJİ A.Ş. DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, QUIET ENJOYMENT, AND AVAILABILITY.

We do not warrant that MORAI will be uninterrupted, secure, error-free, or that outputs generated by AI will be accurate, lawful, original, marketable, or suitable for your needs.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODVIA TEKNOLOJİ A.Ş. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO YOUR USE OF MORAI.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO MORAI SHALL NOT EXCEED THE GREATER OF:

  • the amount you paid to use MORAI in the 12 months preceding the event giving rise to the claim; or
  • USD 100.

Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Codvia Teknoloji A.Ş. and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • your use or misuse of MORAI;
  • your User Content;
  • your violation of this EULA;
  • your violation of any law or the rights of any third party.

14. Governing Law

This EULA shall be governed by and construed in accordance with the laws of Türkiye, without regard to conflict of law principles.

Any dispute arising out of or relating to this EULA or your use of MORAI shall be subject to the jurisdiction of the competent courts and enforcement offices of Antalya, Türkiye, unless otherwise required by applicable consumer protection law.
